1. Contracting Party and Scope
These Terms of Use ("Terms") form a binding agreement between PassTru and the organization, company, or other legal entity that creates or uses a PassTru account ("Client", "you", or "your"). They apply to the PassTru website, application, and related services unless a separate written agreement with us states otherwise.
By accessing or using the Service, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
PassTru provides software for event registration operations, attendee management, check-in, public check-in pages, attendee portals, visitor registration, booth engagement, confirmation email tools, token purchases, reporting, and operational support tools. We may update, improve, or modify the Services from time to time.
3. Accounts, Authority, and Security
- You must provide accurate registration information and keep it current.
- You are responsible for account credentials, sub-accounts, and activities under your workspace.
- You must promptly notify us of suspected unauthorized access, misuse, or security incidents.
4. Client Responsibilities
You agree to use the Services lawfully and in compliance with privacy, data protection, anti-spam, consumer protection, and event-related laws that apply to your activities.
- You are responsible for event content and attendee or visitor data submitted to the Services.
- You are responsible for obtaining required notices, permissions, and consents.
- You are responsible for communications sent through the platform and for your event-facing policies.
5. Event Organizer Role and Public Pages
Events managed through PassTru are organized by Clients, not by us. Some features intentionally publish content publicly by URL, including public check-in pages, attendee portals, public branding assets, and visitor registration flows. You are responsible for what you publish and for ensuring that publication is lawful and appropriate for your event.
6. Fees, Tokens, and Payment Terms
Some features are usage-based and require token purchases or paid access. By purchasing tokens or paid features, you agree to the pricing presented at checkout unless otherwise agreed in writing. Payment checkout and settlement may rely on third-party payment providers and their verification flows.
- Fees are generally non-refundable unless required by law or expressly stated otherwise.
- Consumed tokens are generally non-cancellable.
- You are responsible for applicable taxes, duties, and levies.
7. Data Handling and Data Processing
As between the parties, Client is generally the controller of Client Data and attendee or visitor personal data. PassTru acts as processor or service provider for that data when processing it on Client instructions. For account, billing, security, and service-administration data, we may act as controller where needed to operate the platform. A data processing addendum may be made available on request for clients with applicable data protection requirements.
8. Third-Party Services and Subprocessors
The Services rely on third-party providers for hosting, infrastructure, payments, and transactional email. Current public subprocessor disclosures are available on the Subprocessors page. Your use of third-party services may also be subject to their own terms and policies.
9. Acceptable Use
- You must not use the Service unlawfully, fraudulently, or deceptively.
- You must not upload malware or attempt unauthorized access to systems or data.
- You must not scrape, reverse engineer, or misuse the platform except as permitted by law.
- You must not use the Service to send unlawful or deceptive communications.
10. Intellectual Property
We retain ownership of the platform, software, branding, and Service content that belongs to us. You retain ownership of Client Data and content you upload, subject to the limited rights needed for us to host, process, transmit, and display that content to provide the Services.
11. Suspension and Termination
We may suspend or terminate access to the Services if you breach these Terms, your use poses legal, security, or operational risk, or as required by law. You may stop using the Services at any time. Termination does not remove obligations that are intended to survive, including payment, confidentiality, and liability terms.
12. Warranties and Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the fullest extent permitted by law, PassTru will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services. If a separate written commercial agreement applies between us and a Client, any liability terms in that agreement will control to the extent permitted by law.
14. Governing Law and Disputes
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Disputes arising from or related to these Terms or the Services will be subject to the courts of Malaysia, unless a separate written agreement states otherwise.
15. Changes to Terms
We may update these Terms from time to time. Updated versions become effective on posting or on a later stated effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
